In these Terms and Conditions, “100% IDEA SRL” or the “Seller” means the company identified above; “Customer” means the business customer who uses the Website or submits an order; and “Website” means flipchart.it and its language versions.
2. Scope
These Terms and Conditions govern:
- access to and use of the flipchart.it Website;
- consultation of content and product pages;
- the creation and use of any customer account;
- orders and sales contracts concluded through the Website between 100% IDEA SRL and business customers.
These Terms and Conditions apply to all orders placed through the Website unless special terms have been expressly agreed in writing between 100% IDEA SRL and the Customer.
The following documents form an integral part of these Terms and Conditions, where applicable:
- the information stated on the product page for the product ordered;
- the Shipping, Delivery and Order Management page;
- the Return and Refund policy for Business Customers;
- the Secure Payment page;
- the Privacy Policy and Cookie Policy.
In the event of any conflict, the special terms expressly agreed in writing and stated in the order confirmation prevail. These Terms and Conditions continue to apply to all matters not expressly varied.
3. Sales reserved for businesses and professionals
Purchases made through flipchart.it are reserved exclusively for businesses, companies, public or private entities, organisations, self-employed persons and professionals purchasing products for purposes primarily connected with their business, commercial, craft, institutional or professional activities.
By submitting an order, the Customer represents and warrants:
- that they are not acting as a consumer within the meaning of Article 3(1)(a) of Italian Legislative Decree No. 206 of 6 September 2005;
- that they have the legal capacity and any authority required to bind the business, entity, organisation or professional identified in the order;
- that all business, tax, billing, payment and delivery information supplied is complete, accurate and truthful;
- that they have read and accepted these Terms and Conditions and the other information referred to during checkout.
100% IDEA SRL may request additional information or documentation in order to verify the business nature of the purchase and the identity or authority of the person submitting the order.
If the information supplied is missing, incomplete, inaccurate, unverifiable or inconsistent with a business purchase, 100% IDEA SRL may suspend the processing of the order or cancel it and will inform the Customer accordingly. If the cancelled order has already been paid, the amounts received will be refunded without undue delay, subject to any non-recoverable costs expressly agreed or attributable to the Customer.
4. Languages, availability and storage of the Terms and Conditions
The Website is available in Italian and English. The Customer may submit an order using either available language.
In the event of any difference in interpretation between the language versions of these Terms and Conditions, the Italian version prevails unless otherwise agreed in writing.
These Terms and Conditions can be viewed, saved and printed before the order is submitted. The Customer is advised to retain a copy together with the order confirmation and the other documents relating to the purchase.
5. Ordering process and conclusion of the contract
The information and product pages published on the Website constitute an invitation to submit an order and do not constitute an irrevocable contractual offer by 100% IDEA SRL.
To submit an order, the Customer must:
- select the products and quantities required;
- check the contents of the shopping cart;
- enter or confirm their business, tax, billing and delivery information;
- select an available payment and shipping method;
- check the order summary, including prices, taxes and shipping costs;
- correct any errors before submission;
- accept the required terms and submit the order using the relevant command.
The order submitted by the Customer constitutes a binding offer to purchase, subject to these Terms and Conditions.
The automated acknowledgement of receipt confirms only that the order has been received by the system and does not necessarily constitute acceptance. The contract is concluded when 100% IDEA SRL sends an express acceptance, communicates that processing or shipment has begun, or performs the order, whichever occurs first.
100% IDEA SRL may refuse or cancel an order, in particular, in the event of:
- payment failure, reversal or inability to verify payment;
- missing or inconsistent business, tax or delivery information;
- product unavailability;
- inability to deliver to the destination provided;
- an obvious error in the published price, description or conditions;
- reasonable suspicion of fraud, abuse, unlawful use or breach of these Terms and Conditions.
Orders and related information are stored in the systems of 100% IDEA SRL for the time required to perform the contract and for the periods prescribed by applicable tax, accounting and civil-law requirements. The Customer may request the available information by contacting [email protected].
6. Products, characteristics and availability
The essential characteristics of each product are described on the relevant product page. Before ordering, the Customer must verify that the selected product is suitable for their professional requirements, intended place of use and planned transport arrangements.
Photographs, videos, drawings and other product representations are for illustrative purposes. Colours and finishes may appear slightly different from the actual product because of screen or browser settings, photographic lighting or normal manufacturing tolerances.
Availability information is updated with due care, but products may become unavailable or the availability shown may differ from actual stock. In that event, 100% IDEA SRL will inform the Customer and may propose an alternative solution, partial delivery, a new availability date or a refund of the amounts paid for the unavailable products.
100% IDEA SRL may make technical or construction improvements to products provided that they do not materially reduce their functionality, performance or quality. The Customer will be informed where a change affects an essential feature of the order.
7. Prices, VAT and invoicing
Prices published on the Website are expressed in euros and include ordinary packaging. Unless otherwise stated, VAT and shipping costs are excluded.
The applicable VAT treatment depends on the legislation in force, the country of destination, the nature of the transaction and the Customer’s tax status. The total amount applicable to the order is displayed before submission and stated in the relevant tax documentation.
100% IDEA SRL may change the prices of products not yet ordered at any time. Orders already accepted are charged at the price displayed at the time of purchase, except in the case of an obvious and recognisable error.
An invoice is issued for every order using the legal and tax information supplied by the Customer. The Customer is responsible for the accuracy of that information and must report any error without delay to [email protected].
8. Payments
The available payment methods are those displayed during checkout and may include credit or debit card, PayPal, Stripe, bank transfer or other services made available by 100% IDEA SRL.
Orders are processed after payment has been successfully completed. For bank transfers, processing begins after the funds have been credited to the account unless otherwise agreed in writing.
Complete payment-card details are processed directly by the relevant payment service providers through their security systems and are not stored by 100% IDEA SRL.
Any fees charged by the Customer’s bank, card issuer, payment provider or currency-conversion service remain the Customer’s responsibility.
100% IDEA SRL may suspend performance of the order if payment has not been received, is disputed, has been reversed or is subject to anti-fraud verification.
For further information, please read the Secure Payment page.
9. Shipping, delivery, customs and transfer of risk
Order preparation, shipping, delivery, tracking, inspection of packages and reporting of transport damage are governed by the Shipping, Delivery and Order Management page, which forms an integral part of these Terms and Conditions.
Preparation and delivery times are estimates unless 100% IDEA SRL has expressly accepted an essential deadline in writing.
Shipments outside the European Union may be subject to customs duties, import taxes, local taxes, customs-clearance charges and other fees. Unless expressly stated to be included or billed by 100% IDEA SRL, these amounts are payable by the Customer or the recipient.
The Customer must promptly supply any information or documentation requested by the carrier or customs authorities and cooperate with customs clearance. Documented costs caused by incorrect information, failure to cooperate, unjustified refusal of delivery, the recipient being unavailable, storage, return or destruction of the goods may be charged to the Customer.
Risk in the goods transfers in accordance with the applicable law, any delivery terms stated in the order and any specific agreement concluded with the Customer.
10. Cancellation, commercial returns and withdrawal
The Customer may request cancellation of an order by contacting [email protected] as soon as possible.
The request may be accepted provided that the order has not yet been prepared, customised, handed over to the carrier or entered a stage of processing that can no longer be reversed. The request does not automatically cancel the order; cancellation becomes effective only after written confirmation from 100% IDEA SRL.
Once an order has been shipped or delivered, there is no automatic right to return products because of a change of mind, reconsideration or an error in selecting the product.
The right of withdrawal provided for in Articles 52 and following of the Italian Consumer Code and the online withdrawal function provided for contracts concluded with consumers do not apply to contracts concluded with business customers.
100% IDEA SRL may, at its sole discretion, consider a commercial return request. Every return must be authorised in writing in advance and carried out in accordance with the conditions communicated to the Customer.
The complete conditions are available in the Return and Refund policy for Business Customers.
11. Warranty for business customers
Sales concluded with business customers are subject to the warranty against defects in the goods provided for by Articles 1490 and following of the Italian Civil Code, within the limits and subject to the conditions established by the applicable law and contract.
Unless a different period is provided by law or agreed in writing, the Customer must report a defect within 8 days of discovery. Warranty claims are subject to a limitation period of one year from delivery.
The warranty does not cover issues caused by normal wear and tear, improper use, neglect, impact, unauthorised modifications or repairs, incorrect assembly, use of incompatible components, unsuitable transport or storage, use in unsuitable environments or failure to follow instructions.
The Customer must report the issue without delay to [email protected], quoting the order number and providing a description, photographs and any other information useful for assessment.
Before receiving instructions from 100% IDEA SRL, the Customer must not dispose of the packaging or modify, repair, dismantle or return the product, except for urgent action necessary to prevent further damage.
12. Accounts, credentials and permitted use of the Website
The Customer is responsible for the accuracy of the information entered, the safekeeping of login credentials and all activities carried out through their account.
The Customer must immediately inform 100% IDEA SRL of any unauthorised access, loss of credentials or unlawful use of the account.
The Website must not be used:
- in breach of the law, third-party rights or these Terms and Conditions;
- to submit false, fraudulent or unlawful information or information relating to third parties without authority;
- to introduce malware, harmful code or tools intended to compromise security or functionality;
- to perform automated access, bulk extraction, scraping or systematic copying of content without authorisation;
- to interfere with the operation of the Website, servers, payment systems or other users’ accounts.
100% IDEA SRL may suspend or restrict access to the Website or an account in the event of a breach, security risk, suspected fraud, legal obligation or technical necessity.
13. Intellectual property
The content of the Website, including text, images, photographs, videos, drawings, graphics, layout, logos, trademarks, trade names, technical documents and software, is protected by copyright, trademark and other intellectual-property laws.
Unless otherwise stated, such content belongs to 100% IDEA SRL or is used under licences, permissions or other lawful rights.
Users may view the Website and make the temporary copies technically required for normal browsing. Content may not be reproduced, modified, distributed, published, resold, used commercially or used to create derivative works without the prior written authorisation of the relevant rights holder.
Links to public pages of the Website may be shared provided that this is done lawfully, fairly and without misleading users or suggesting a non-existent sponsorship, endorsement or affiliation.
14. Trademarks and domain names
The distinctive signs “KING Flipchart”, “flipchart.it” and all other trademarks or logos belonging to 100% IDEA SRL may not be used without prior written authorisation.
Third-party trademarks appearing on the Website belong to their respective owners and are used solely to identify, describe or document relevant products, services or contexts. Their presence does not necessarily imply sponsorship, affiliation or endorsement.
15. Content notices and use of artificial-intelligence tools
100% IDEA SRL seeks to ensure that published content is lawful, relevant, respectful of the rights and dignity of individuals and accurate as of the date of publication.
Information relating to products, prices, availability, shipping, taxes, legislation and other matters subject to change may be updated over time. The Customer must rely on the information displayed during checkout, the order confirmation and any specific communication received from 100% IDEA SRL.
100% IDEA SRL may use artificial-intelligence tools to assist with drafting, reviewing, translating and organising text, as well as with the technical processing of images and improvements to the accessibility and usability of the Website.
Content intended for publication is subject to human review and approval. 100% IDEA SRL retains editorial responsibility for published content and pays particular attention to information relating to product characteristics, prices, contractual terms, shipping and other matters relevant to a purchase.
100% IDEA SRL does not intend to present as genuine any event, statement, product use or relationship with a person or organisation that did not actually occur or has not been accurately represented.
Where applicable law requires disclosure that content has been generated or substantially manipulated using an artificial-intelligence system, 100% IDEA SRL provides that information clearly and recognisably in proximity to the relevant content and, where required, at the time of first exposure.
Errors, outdated information or content that may infringe rights can be reported to [email protected].
16. Links to third-party websites and services
The Website may contain links to websites, platforms or services operated by third parties. 100% IDEA SRL does not continuously control those resources and is not responsible for their content, availability, security, terms of use or data-protection practices.
Access to external services is at the user’s own responsibility. Users are advised to read the relevant terms and privacy notices.
17. Availability and security of the Website
100% IDEA SRL takes reasonable measures to keep the Website accessible, secure and operational but does not guarantee uninterrupted or error-free access or compatibility with every device, browser or configuration.
The Website may be temporarily suspended or restricted for maintenance, updates, security measures, failures, network problems, supplier unavailability, exceptional events or other technical or organisational requirements.
Users are responsible for protecting their devices, software, data and connections and for adopting suitable safeguards against viruses, malware and other cybersecurity risks.
18. Limitation of liability
Except in cases of wilful misconduct, gross negligence and any other case in which liability cannot be excluded or limited by law, 100% IDEA SRL is not liable for:
- use of the Website or products contrary to the law, instructions or intended purpose;
- damage resulting from incorrect or incomplete information supplied by the Customer;
- delays or costs caused by the Customer, recipient, customs authorities, carrier or other third parties outside the direct control of 100% IDEA SRL;
- indirect loss, loss of profit, loss of opportunity, business interruption, loss of data or consequential damage that was not reasonably foreseeable when the contract was concluded;
- interruptions, malfunction or unavailability of the Website not attributable to wilful misconduct or gross negligence by 100% IDEA SRL.
The Customer must take all reasonable steps to prevent or limit damage and promptly inform 100% IDEA SRL of any issue.
19. Force majeure
100% IDEA SRL is not liable for delay or non-performance caused by events beyond its reasonable control, including natural disasters, fire, flooding, epidemics, war, civil unrest, acts of public authorities, embargoes, sanctions, strikes, transport disruption, shortages of raw materials or energy, telecommunications outages, cyberattacks, widespread failures, customs delays or exceptional carrier unavailability.
In such circumstances, performance is suspended for the duration of the impediment. 100% IDEA SRL will inform the Customer where reasonably possible and will consider alternative solutions. If the impediment continues and makes performance excessively burdensome or no longer reasonable, either party may request termination of the unperformed part of the contract, without prejudice to payment for services or goods already properly supplied.
20. Privacy and cookies
Personal data is processed in accordance with applicable law and the information provided in the Privacy Policy.
The use of cookies and similar technologies is described in the Cookie Policy and in the consent-management panel available on the Website.
21. Changes to the Website and these Terms and Conditions
100% IDEA SRL may update the Website, its content, functions and these Terms and Conditions for technical, commercial, organisational or legal reasons.
New Terms and Conditions apply to orders submitted after their publication. Orders already concluded remain governed by the terms in force at the time of acceptance unless a change is required by mandatory law or expressly agreed with the Customer.
The date of the latest update is stated at the end of this page.
22. Communications
Communications relating to an order are sent to the addresses and contact details supplied by the Customer. The Customer must keep that information up to date and also check junk or spam folders.
Customer communications concerning orders, shipping, complaints, support or returns must be sent to [email protected] unless a different contact address is stated.
Formal communications may be sent to the certified e-mail address (PEC) [email protected].
23. Governing law and exclusive jurisdiction
These Terms and Conditions, use of the Website and contracts concluded with 100% IDEA SRL are governed by Italian law, without prejudice to any mandatory rules that may apply.
The parties will attempt to resolve any dispute amicably by sending a written communication describing the issue and the remedy requested.
Any dispute concerning the validity, interpretation, performance or termination of these Terms and Conditions or any contract concluded through the Website is subject to the exclusive jurisdiction of the Court of Turin, without prejudice to any jurisdiction that cannot lawfully be excluded.
24. Severability, tolerance and waiver
If any provision is held to be void, invalid or unenforceable, the remaining provisions remain effective to the fullest extent possible. The invalid provision will be replaced or interpreted in the manner closest to its lawful intended purpose.
A failure or delay by 100% IDEA SRL in exercising any right does not constitute a waiver and does not prevent that right from being exercised later.
25. Specific approval of B2B clauses
Where required by Articles 1341 and 1342 of the Italian Civil Code, the Customer is requested to specifically approve, by means of a separate acceptance during checkout or another suitable method, the clauses concerning:
- the right to suspend, refuse or cancel an order;
- product availability and technical changes;
- suspension of performance because of payment issues;
- delivery times, customs and costs attributable to the Customer;
- cancellation and commercial returns;
- the terms and limitations of the business warranty;
- suspension or restriction of an account or access to the Website;
- Website availability and limitations of liability;
- force majeure;
- changes to the Terms and Conditions for future orders;
- governing law and the exclusive jurisdiction of the Court of Turin.
